<h2>1. Acceptance of Terms</h2>
<p>
By creating an account or otherwise accessing or using the SpotsMe platform, you agree
to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are
accepting these Terms on behalf of a business, you represent and warrant that you have
the authority to bind that business to these Terms. If you do not agree to these Terms,
do not use SpotsMe.

<h2>2. The Service</h2>
<p>
TT Service OÜ ("SpotsMe", "we", "us") provides a digital loyalty platform that enables
merchants to run loyalty programmes and customers to participate in them.
</p>
<p>
<strong>Important:</strong> SpotsMe does <strong>not</strong> process payments between
customers and merchants. Those payments are made offline, directly between the merchant
and the customer; SpotsMe records loyalty activity (check-ins, points, rewards) but is
not a party to the payment transaction. Merchant subscription fees payable to SpotsMe
are processed by our payment service provider.

<h2>3. Account Responsibilities</h2>
<ul>
<li>You must provide accurate and complete information when creating your account and keep it up to date.</li>
<li>You are responsible for maintaining the security of your credentials. If you believe your account has been compromised, notify us immediately at <strong>privacy@spotsme.app</strong>.</li>
<li>You must not share your account with other individuals. Merchants wishing to grant access to employees must use the staff account feature.</li>
<li>You must be at least 16 years old to use SpotsMe.</li>
</ul>
<h2>4. Merchant Terms</h2>
<ul>
<li>Merchants are responsible for the terms and conditions of their own loyalty programmes and for fulfilling any obligations made to customers (e.g. reward redemption).</li>
<li>
Merchants may view the <strong>display name</strong> and <strong>purchase and loyalty activity at their store</strong>
within the SpotsMe dashboard. Merchants <strong>may not</strong> use this information to
identify or contact customers outside of the SpotsMe platform.
</li>
<li>Merchants must not create fraudulent or misleading loyalty programmes.</li>
<li>Merchants are responsible for the actions of their staff using SpotsMe staff accounts.</li>
<li>Merchants are solely responsible for compliance with all laws applicable to the products and services they offer — including restrictions on the sale of age-restricted products such as alcohol and tobacco. Where an order includes age-restricted products, the merchant and its staff must verify the age of the customer with a valid identity document at handover and must refuse the sale where the legally required age cannot be proven. SpotsMe does not verify customer age and is not a party to the sale.</li>
<li>Subscription fees apply where a paid plan is activated. Details are provided at the time of activation.</li>
</ul>
<h2>5. Customer Terms</h2>
<ul>
<li>Loyalty points accumulated through SpotsMe have no cash value unless the relevant merchant expressly states otherwise in their programme terms.</li>
<li>SpotsMe is not responsible for a merchant's failure to honour points or rewards.</li>
<li>When you participate in a merchant's loyalty programme, that merchant can see your display name and your activity at their store.</li>
<li>Certain products (for example alcohol) are age-restricted by law. Meeting the minimum age for using SpotsMe does not entitle you to purchase age-restricted products; the merchant will verify your age with a valid identity document at handover and may refuse the sale.</li>
</ul>
<h2>6. Prohibited Conduct</h2>
<p>You must not:</p>
<ul>
<li>Use SpotsMe for any unlawful purpose or in violation of any applicable law or regulation.</li>
<li>Attempt to reverse engineer, decompile, or otherwise tamper with the SpotsMe platform or infrastructure.</li>
<li>Submit fake check-ins, transactions, or other fraudulent loyalty activity.</li>
<li>Impersonate any person, merchant, or entity.</li>
<li>Attempt to identify, contact, or track customers outside of the SpotsMe platform using data obtained through SpotsMe.</li>
</ul>
<h2>7. Intellectual Property</h2>
<p>
TT Service OÜ owns all rights to the SpotsMe platform, software, brand, and associated
intellectual property. Nothing in these Terms transfers any ownership to you.
</p>
<p>
You retain ownership of any content you upload to SpotsMe (such as merchant logos and
images). By uploading content, you grant TT Service OÜ a non-exclusive, worldwide,
royalty-free licence to host, store, and display that content solely for the purpose of
operating the SpotsMe service.
</p>
<h2>8. Limitation of Liability</h2>
<p>
To the maximum extent permitted by applicable law, TT Service OÜ's total liability to
you for any claim arising out of or related to these Terms or the SpotsMe service shall
not exceed the amount you have paid to TT Service OÜ in the 12 months preceding the
claim, or <strong>€100</strong> if no amounts have been paid.
</p>
<p>
TT Service OÜ shall not be liable for any indirect, incidental, special, consequential,
or punitive damages, including but not limited to loss of profits, data, or goodwill.
</p>
<h2>9. Termination</h2>
<p>
Either party may terminate their use of SpotsMe at any time. You may delete your account
at any time in the app profile settings (customers) or in the merchant portal (merchants),
or by contacting us at <strong>privacy@spotsme.app</strong>. TT Service OÜ
reserves the right to suspend or terminate accounts that violate these Terms without
prior notice.

<p>
Upon termination, your personal data will be deleted or anonymised in accordance with
our Privacy Policy.
</p>
<h2>10. Governing Law and Dispute Resolution</h2>
<p>
These Terms are governed by the laws of the Republic of Estonia. Any disputes arising
from or relating to these Terms shall be subject to the exclusive jurisdiction of the
courts of Estonia.
</p>
<p>
Nothing in these Terms limits or excludes any rights you have as a consumer under
mandatory EU consumer protection law.
</p>
<h2>11. Language Versions</h2>
<p>
These Terms of Service are available in English, Estonian, and Russian. In the event
of any conflict or ambiguity between language versions, the <strong>English version governs</strong>.
</p>
<h2>12. Changes to These Terms</h2>
<p>
We will notify you of material changes to these Terms by email at least <strong>15 days</strong>
before they take effect. Continued use of SpotsMe after the effective date constitutes
acceptance of the revised Terms.
